| Abstrak (Bhs. Indonesia) | Good Corporate Governance (GCG) merupakan aturan, standar dan organisasi di bidang ekonomi yang mengatur perilaku pemilik perusahaan, direktur dan manajer serta perincian dan penjabaran tugas dan wewenang serta pertanggungjawabannya kepada investor. Kewajiban BUMN dalam menerapkan GCG diatur dalam Pasal 2 ayat (1) Peraturan Menteri Negara Badan Usaha Milik Negara Nomor : PER-01/MBU/2011 Tentang Penerapan Tata Kelola Perusahaan Yang Baik Pada Badan Usaha Milik Negara, disebutkan bahwa BUMN wajib menerapkan GCG secara konsisten dan berkelanjutan dengan berpedoman pada Peraturan Menteri ini dengan tetap memperhatikan ketentuan, dan norma yang berlaku serta anggaran dasar BUMN. Tujuannya adalah untuk menciptakan sistem pengendalian dan keseimbangan dalam mencegah penyalahgunaan sumber daya perusahaan dan tetap mendorong terjadinya pertumbuhan perusahaan. Penelitian ini menggunakan metode penelitian hukum yuridis normatif yang disajikan secara sistematis dengan teks deskriptif. Penelitian ini dilaksanakan di PT. Bank Rakyat Indonesia (Persero) Tbk. Cabang Brebes. PT Bank Rakyat Indonesia (Persero) Tbk Cabang Brebes telah menerapkan kelima prinsip Good Corporate Governance dengan baik sesuai ketentuan internal maupun eksternal. Adapun dasar hukum Internal berupa Surat Keputusan Bersama Dewan Komisaris dan Direksi Nomor 05-KOM/BRI/12/2013 dan Nokep S.64-DIR/DKP/12/2013 tanggal 16 Desember 2013 tentang Kebijakan Good Corporate Governance dan dasar hukum Eksternal berupa Peraturan Bank Indonesia Nomor 8/14/PBI/2006 tentang pelaksanaan Good Corporate Governance bagi Bank Umum serta Surat Edaran Bank Indonesia Nomor 15/15/DPNP/2013 tentang pelaksanaan Good Corporate Governance bagi Bank Umum. |
| Abtrak (Bhs. Inggris) | Good Corporate Governance (GCG) is a regulation, standard, and guidance in economic terms that governs the behavior of owners, directors and managers in company as well as details and elaboration of duties and authority and responsibility to investors. The obligation of State-Own Enterprises (SOE) in applying GCG is regulated in Article 2 paragraph (1) of Regulation of State Minister of State Owned Enterprises Number: PER-01 / MBU / 2011 concerning Implementation of Good Corporate Governance in State-Owned Enterprises, it is mentioned that SOEs must apply GCG consistently And sustainably by referring to this Ministerial Regulation with due regard to the provisions, and the prevailing norms and the articles of association of SOEs. The goal is to create a system of control and stability in preventing the misuse of corporate resources and still encouraging the growth of the company. This research uses normative juridiction research method which is presented systematically with descriptive method. This research was conducted at PT. Bank Rakyat Indonesia (Persero) Tbk. Branch of Brebes. PT Bank Rakyat Indonesia (Persero) Tbk The Branch of Brebes has been implementing the five principles of Good Corporate Governance in accordance with both internal and external provisions. The Internal legal basis in the form of Joint Decree of the Board of Commissioners and the Board of Directors No. 05-KOM / BRI / 12/2013 and Nokep S.64-DIR / DKP / 12/2013 as of December 16, 2013 on Good Corporate Governance Policy and External Legal Basis of Regulation Bank Indonesia Number 8/14 / PBI / 2006 concerning the implementation of Good Corporate Governance for Commercial Banks and Handbill of Bank Indonesia Number 15/15 / DPNP / 2013 on the implementation of Good Corporate Governance for Commercial Banks |
