Perseroan Terbatas atau Naamloze Vennoontschap (dalam bahasa Belanda) yang selanjutnya disebut perseroan merupakan suatu badan hukum. Berdasarkan status badan hukum yang dimilikinya, maka tanggung jawab yang dimiliki oleh para pemegang saham, direksi dan komisaris adalah terbatas. Pertanggungjawaban terbatas tersebut tidaklah mutlak, karena tidak ditutup kemungkinan pemegang saham, direksi ataupun komisaris melakukan kesalahan atau bahkan menimbulkan kerugian bagi sebuah perseroan. Tanggung jawab terbatas pemegang saham itu dikecualikan dengan prinsip piercing the corporate veil. Penelitian ini bertujuan untuk mengetahui penerapan prinsip piercing the corporate veil di Indonesia khususnya di dalam Putusan Nomor: 304/PDT/2016/PT.MDN.
      Jenis penelitian yang digunakan dalam penelitian ini adalah penelitian hukum normatif dengan spesifikasi penelitian deskriptif analisis. Sumber data yang digunakan adalah data sekunder yang berupa peraturan perundang-undangan, literatur yang berkaitan dengan pokok permasalahan yang diteliti. Metode pengumpulan data dilakukan dengan studi kepustakaan dan dokumenter, data yang diperoleh disajikan dengan teks deskriptif naratif, dan metode analisis data dilakukan secara normatif kualitatif.
      Berdasarkan hasil penelitian dalam putusan nomor: 304/PDT/2016/PT.MDN dapat disimpulkan bahwa Direksi dan Komisaris PT. PANTAI PERUPUK INDAH telah melanggar ketentuan Anggaran Dasar Perseroan dan Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas, di mana tetap bersikeras menyelenggarakan RUPS-LB tanpa mengindahkan hak-hak PENGGUGAT selaku pemegang saham minoritas PT. PANTAI PERUPUK INDAH. Putusan hakim Pengadilan Tinggi Medan dalam hal ini telah benar menerapkan prinsip Piercing The Corporate Veil sebagaimana diatur di dalam Pasal 3 ayat (2) huruf b dan c Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas.

Limited Liability Company or Naamloze Vennoontschap (in Dutch) here in after referred to as a company is a legal entity. Based on their legal entity status, the responsibilities of the shareholders, directors and commissioners are limited. This limited liability is not absolute, because it is possible for shareholders, directors or commissioners to make mistakes or even cause losses to a company. The limited liability of the shareholders is exempted by the principle of piercing the corporate veil. This study aims to determine the application of the principle of piercing the corporate veil in Indonesia, especially in the Decision Number: 304 / PDT / 2016 / PT.MDN.
This type of research used in this research is normative legal research with descriptive analysis research specifications. Sources of data used are secondary data in the form of laws and regulations, literature related to the subject matter studied. The data collection method was carried out by literature and documentary studies, the data obtained were presented with narrative descriptive text, and the data analysis method was carried out in a qualitative normative manner.
Based on the research results in decision number: 304 / PDT / 2016 / PT.MDN, it can be concluded that the Directors and Commissioners of PT. PANTAI PERUPUK INDAH has violated the provisions of the Articles of Association of the Company and Law Number 40 of 2007 concerning Limited Liability Companies, which continues to insist on holding the EGMS without heeding the rights of PLAINTIFF as a minority shareholder of PT. PERUPUK INDAH BEACH. The decision of the Medan High Court judge in this case has correctly applied the principle of Piercing The Corporate Veil as regulated in Article 3 paragraph (2) letters b and c of Law Number 40 of 2007 concerning Limited Liability Companies.
